Business Associate Agreement

This Business Associate Agreement ("Agreement") supplements the Master Subscription Agreement between you and Benvai, Inc. ("Business Associate"). It establishes the permitted and required uses of Protected Health Information ("PHI") created, received, maintained, or transmitted on behalf of you (the "Covered Entity").

Capitalized terms not defined here have the meaning given in HIPAA, specifically 45 C.F.R. Parts 160 and 164.

Business Associate will: implement administrative, technical, and physical safeguards; restrict access to authorized personnel only; log access to PHI and retain audit records for at least six years; promptly report any breach; assist with subjects' access and amendment requests; and ensure all subcontractors execute substantially similar agreements.
